TERMS OF SERVICE

IMPORTANT NOTICE: THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. THEY MATERIALLY AFFECT YOUR LEGAL RIGHTS AND RESPONSIBILITIES. PLEASE READ THEM CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM. THIS DOCUMENT IS INCORPORATED BY REFERENCE INTO THE ESYPET PRIVACY POLICY, AVAILABLE AT www.esypet.com/privacy-policy/.

The following terms (the “Terms of Service” or the “Agreement”) constitute a legally binding agreement between you (“User,” “You,” “your,” “Pet Owner,” or “Pet Care Business”) and ESyPet Corporation (“ESyPet,” “we,” “us,” or “our”), located at 1115 Gemini Street, Suite 260, Houston, TX 77058 (Contact: support@esypet.com, compliance@esypet.com). This Agreement governs your access to and use of the esypet.com and esypet.net websites, related online portals, mobile applications, and matching services (collectively, the “Platform” or the “Services”). You must agree to this Agreement in order to access and/or use our Services. If you do not agree, you may not use the Platform. Separate terms apply to products or services from Third-Party Providers. Regardless of platform facilitation, your interaction with Third-Party Providers is solely between you and them.

PART I – GENERAL PLATFORM TERMS APPLICABLE TO ALL USERS

  1. Account Eligibility, Authority, and Embargo Warranties
    Eligibility: You must be 18 years of age or older to create an account. You must provide accurate, current, and complete information. You are entirely responsible for maintaining the confidentiality of your credentials and credentials security. Promptly notify us at Support@ESyPet.com of unauthorized access.
    Vesting of Authority: A person accepting these Terms on behalf of a Pet Care Business represents and warrants that they possess the necessary legal authority to bind that commercial entity.
    Child Safety and Jurisdictions: The Platform is not intended for children under 13. Platform utilization is authorized solely within the United States. You warrant that you are not located in a country subject to a U.S. government embargo or listed on prohibited parties lists.

  2. Incorporation of Privacy Policy
    Your use of the Platform is strictly governed by our Master Privacy Policy, which is hereby fully incorporated by reference into these Terms. You acknowledge that you have read the Privacy Policy, available at www.esypet.com/privacy-policy/, and consent to the data practices described therein. A violation of the Privacy Policy shall be deemed a material breach of these Terms.

  3. Consent to Site Monitoring & Session Replay (Wiretapping & Privacy Notice)
    To ensure Platform functionality, prevent fraudulent vaccination uploads, and analyze user behavior, ESyPet uses third-party analytics and “session replay” tools. By accessing the Platform, you explicitly and affirmatively consent to: (A) The real-time monitoring, interception, recording, and storage of your interactions with the Platform by ESyPet and its third-party vendors; and (B) The capture of mouse movements, clicks, keystrokes, text inputs, chat interactions, scrolling activity, and page navigation. This constitutes your prior express written consent under applicable state and federal wiretapping laws.

  4. Automated Texting, Commercial Information Rights, and Compliant SMS Terms
    Two-Way Texting and Reminders: ESyPet and matching Pet Care Businesses utilize the Platform to route operational text messages, booking receipts, automated reminders, and client follow-ups. Phone numbers obtained as part of the SMS consent process will not be shared with third parties or affiliates for marketing purposes.
    SMS Opt-in & Opt-out: You may opt-in verbally, during account configuration, or via online form. Message frequency varies. Standard rates apply. Opt out at any time by replying “STOP” or emailing compliance@esypet.com. For automated help, reply “HELP”.
    AI-Assisted Operations: AI-assisted algorithms are deployed to summarize text flows, index scheduling arrays, or recommend provider availability. Users are responsible for reviewing and verifying the operational and financial accuracy of automated text scripts before executing decisions.
    Commercial Information Rights: Subject to robust privacy protections and legally required consumer optout compliance rights, ESyPet may collect, use, analyze, anonymize, cross-reference, combine, and commercialize information blocks or derived data insights for marketing, product optimization, and audience management.

  5. Intellectual Property & Prohibited Conduct Restrictions
    Content Ownership: The entire content of this Platform is the exclusive property of ESyPet Corporation or its content suppliers and is protected by U.S. and international copyright and trademark laws.
    Scraping & AI Training Ban: Scraping, mining, or systematically extracting data from the Platform is strictly prohibited. Using automated tools to access the Site, extract data, or train artificial intelligence (AI) or machine learning models without ESyPet’s express prior written permission is an absolute material breach of these Terms.
    Security Breaches & Reverse Engineering: You agree not to probe, scan, or test the vulnerability of the Platform, breach security or authentication measures, or attempt to reverse engineer any software comprising the Platform.

  6. General Platform Definitions
    ESyPet: ESyPet Corporation, a Texas corporation, located at 1115 Gemini Street, Suite 260, Houston, TX 77058.
    Pet Care Business: Any independent business, veterinary clinic, animal hospital, salon, groomer, mobile grooming vehicle operator, pet service provider, retailer, or professional animal handler using the Platform.
    Pet Care Business Data: Business records, descriptions, employee logs, text logs, pet charts, scheduling configurations, and transactions processed by a Pet Care Business through the Platform.
    Pet Owner: Any individual accessing the Services in a personal capacity to locate, schedule, book, text, or manage grooming or veterinary appointments for a pet under their custody or lawful care.
    Pet Owner Data: Account credentials, contact details, pet attributes, communication metadata, transaction details, service records, and appointment history collected through or generated in connection with the Platform.
    Platform & Services: The technology layer, including AI-assisted matching software, two-way text routing, processing interfaces, online scheduling, tipping, and dashboards through which Pet Owners and Pet Care Businesses transact.

  7. No Veterinary or Professional Animal Handling Advice
    ESyPet is a marketplace platform and scheduling software provider, not a pet care professional, licensed veterinarian, or animal care facility. Content generated by or found through the Platform is provided strictly for reference and convenience purposes. DO NOT USE THE SERVICES FOR ACUTE PET EMERGENCIES. IF YOUR PET IS EXPERIENCING A SEVERE HEALTH CRISIS, TOXIC INGESTION, UNCONTROLLED
    AGGRESSION, ACCIDENT TRAUMA, OR OTHER SEVERE PHYSICAL VULNERABILITIES, IMMEDIATELY
    CONTACT A LICENSED LOCAL 24/7 EMERGENCY VETERINARY HOSPITAL OR ANIMAL CONTROL AUTHORITY. ESYPET DOES NOT CONTROL, PERFORM, OR PROVIDE DIRECT ANIMAL CARE, AND YOUR RELIANCE ON PLATFORM COMMUNICATIONS IS ENTIRELY AT YOUR OWN RISK.


  8. User Content, Feedback, and Licensing
    Users retain rights to their User Content but grant ESyPet a perpetual, irrevocable, nonexclusive, royalty-free, worldwide, fully paid, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, and exploit User Content in all media formats. Prohibited content includes unlawful, defamatory, or fraudulent statements. Notices of alleged copyright infringement must be sent to support@esypet.com. Feedback submitted becomes the sole property of ESyPet Corporation.

  9. Booking, Online Payments, and Tipping Frameworks
    ESyPet provides a digital gateway interface through which Pet Owners may pay for goods or services and distribute tips. Full credit card numbers and sensitive billing codes are processed natively by independent, PCIcompliant third-party processing gateways (e.g., Stripe) and are governed by such third-party policies. ESyPet retains basic payment metadata strictly to confirm transactions, administer subscriptions, reconcile account ledgers, prevent fraud, and comply with state or federal tax reporting laws.

PART II – PET OWNER TERMS

  1. Pet Owner Status
    These additional provisions apply when you use the Platform and Services as a Pet Owner or other individual seeking, requesting, booking, purchasing, or managing pet-related goods or services.

  2. Pet Owner Services
    ESyPet provides the technology Platform through which you may view, request, and book services. Pet Care Business services and products are provided solely and exclusively by the independent Pet Care Business. ESyPet does not provide, perform, supervise, control, or guarantee any Pet Care Business operations, quality of care, or real-world provider availability, and is not liable for canceled or unfulfilled bookings.

  3. Registration Pipeline and Mandatory Vaccination Verifications
    Mandatory Disclosure Verification: Prior to scheduling or confirming any grooming, styling, or veterinary appointment, Pet Owners must upload authentic, unredacted records from a licensed veterinarian verifying that the pet is current on all mandatory immunizations, including canine records (Rabies, DHPP, Bordetella) and feline records (Rabies, FVRCP).
    Vaccination Disclaimer & Health Release: ESyPet provides an electronic upload pipeline for convenience but does not independently inspect, audit, biologically test, or certify the physical authenticity or medical accuracy of any verification record uploaded. ESyPet expressly disclaims all liability regarding contagious transmission, airborne illnesses, or disease outbreaks occurring at or in connection with any independent Pet Care Business facility, kennel, or mobile unit. The platform reserves the right to automatically suspend active booking capabilities or cancel upcoming appointments if data is found to be expired, fraudulent, or within forty-eight (48) hours of expiration.

PART III – PET CARE BUSINESS TERMS

  1. Pet Care Business Scope and Responsibilities
    These provisions apply to any corporate entity or sole professional acting as a Pet Care Business. The Pet Care Business is operated as a completely independent enterprise and remains strictly and solely responsible for its business operations, listed pricing structures, retail goods, care services, booking policies, cancellations, refunds, service quality, customer support, and the verification of credentials.

  2. Independent Personnel and Liability
    The Pet Care Business is solely and exclusively responsible for its employees, styling assistants, groomers, mobile vehicle drivers, independent contractors, and personnel. This comprehensive responsibility includes recruitment, background checks, employment practices, compensation, payroll taxes, training, safety protocols, valid professional licensing, and maintaining adequate commercial liability insurance coverage in absolute compliance with all local, state, and federal laws.

  3. Data Processing Rights and Account Suspension
    The Pet Care Business grants ESyPet a worldwide, nonexclusive, perpetual, royalty-free license to host, store, reproduce, and process Pet Care Business Data to maintain and commercialize the Platform. ESyPet reserves the right, in its sole operational discretion, to immediately suspend or permanently terminate a business’s platform access or active storefront dashboard for material breach of these Terms, billing delinquency, security concerns, suspicious or unlawful activity, or conditions necessary to protect platform users, the general public, or the integrity of the Services.

  4. Promotions and Sweepstakes
    Any sweepstakes, contests, raffles, surveys, or games made available through the Services by a Pet Care Business or ESyPet may be governed by rules separate from these Terms. If you participate, you agree to comply with those rules, which shall control in the event of a conflict.

PART IV – INDEMNIFICATION, LIABILITY, & DISPUTES

1. Indemnification

IMPORTANT CONTRACTUAL PROVISION – PLEASE READ CAREFULLY

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS ESYPET CORPORATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY THIRD PARTY CLAIMS, LOSSES, LIABILITIES, DAMAGES, JUDGMENTS, SETTLEMENTS, COSTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS’ FEES, ARISING OUT OF OR RELATING TO (A) YOUR USE OF THE PLATFORM AND SERVICES; (B) YOUR VIOLATION OF THESE TERMS; (C) YOUR VIOLATION OF APPLICABLE LAW OR THIRD PARTY RIGHTS; (D) INFORMATION, DATA, CONTENT, GOODS, OR SERVICES YOU SUBMIT, PROVIDE, TRANSMIT, OR MAKE AVAILABLE THROUGH THE PLATFORM AND SERVICES (INCLUDING FRAUDULENT VACCINATION UPLOADS OR INACCURATE PET BEHAVIORAL HISTORY); OR (E) YOUR ACTS OR OMISSIONS OR THOSE OF PERSONS ACTING ON YOUR BEHALF. THIS INDEMNIFICATION OBLIGATION APPLIES NOTWITHSTANDING ANY NEGLIGENCE, CONCURRENT NEGLIGENCE, COMPARATIVE NEGLIGENCE, OR OTHER FAULT OF ESYPET, EXCEPT TO THE EXTENT A LOSS IS CAUSED SOLELY AND ENTIRELY BY ESYPET’S OWN GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR OTHER CONDUCT FOR WHICH INDEMNIFICATION CANNOT LAWFULLY BE REQUIRED.

2. Limitations of Liability, Caps, and Releases

General Exclusions: THE LIMITATIONS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY,
INCLUDING CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY, AND OTHER TORT OR LEGAL THEORIES, TO THE FULLEST EXTENT PERMITTED BY LAW. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
Pet Care Business Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESYPET’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PLATFORM, REGARDLESS OF THE LEGAL THEORY OR FORM OF ACTION, WILL NOT EXCEED AN AMOUNT EQUAL TO ONE SUBSCRIPTION FEE ACTUALLY PAID BY THE PET CARE BUSINESS TO ESYPET AND ACTUALLY RECEIVED BY ESYPET UNDER THE APPLICABLE PAID SUBSCRIPTION PLAN. THIS SINGLE LIABILITY CAP APPLIES TO ALL DAMAGES, INCLUDING DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, AND PUNITIVE DAMAGES.
Pet Owner Liability Cap: FOR A PET OWNER, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESYPET’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, REGARDLESS OF THE LEGAL THEORY OR FORM OF ACTION, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT ACTUALLY PAID BY THE PET OWNER TO ESYPET AND ACTUALLY RECEIVED BY ESYPET DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (US $100).
Damages Waiver: THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ESYPET WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CUSTOMERS, DATA, GOODWILL, ANIMAL LIFE, LOSS OF PET, OR OTHER ECONOMIC LOSS, ARISING OUT OF OR RELATING TO THE PLATFORM AND SERVICES OR THESE TERMS, EVEN IF ESYPET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

3. Dispute Resolution and Arbitration Agreement

Good-Faith Informal Negotiation: Before filing a formal proceeding, the parties will attempt in good faith to resolve a dispute by written notice and informal discussion for at least forty-five (45) days (“Informal Resolution Period”), from the day either party receives a written notice of dispute (“Claimant Notice”).
Binding Arbitration Track: Except where applicable law requires otherwise, disputes not resolved informally within the 45-day period will be resolved by final and binding individual arbitration administered by JAMS under JAMS rules. This identical protocol applies to any and all data liability dispute, privacy tort claim, or regulatory cause of action arising out of commercial privacy practices, which is fully mirrored in Section 10 of the Master Privacy Policy.
Class Action and Jury Waiver: You and ESyPet agree that arbitration will be conducted solely on an individual basis. No class, collective, or representative arbitration or proceeding will be permitted to the fullest extent permitted by law. You and ESyPet are each waiving the right to a trial by jury.
Mass Disputes Framework (Staged Batches of 5): If 5 or more Claimant Notices are received that raise similar claims and share coordinated counsel, they constitute a “Mass Dispute.” To ensure an orderly and efficient resolution, initial batch arbitrations of 5 demands (selected equally by both sides) will proceed to maximize efficiency. No other demands may be filed, processed, or assessed arbitration fees until the active batch of 5 is fully resolved. Upon the final issuance of written arbitration awards for all five (5) initial batch arbitrations, a sixty (60) day mandatory global mediation framework shall automatically trigger. The parties must mutually select a single neutral mediator, and ESyPet shall advance the core mediation administrator fees. No further arbitration demands may be selected, administered, or assessed fees until this 60-day mediation window has completely expired or concluded via a signed settlement writing. If mediation fails to resolve the remaining claims, and 100 or more unresolved claims remain, either side may opt out of arbitration for all remaining claims to litigate them individually in court.
Opt-Out Mechanism: You may opt out of the arbitration requirement by sending a clear written notice to support@esypet.com within thirty (30) days after first accepting these Terms.
• Intellectual Property Exception: Nothing in this Section prevents either party from seeking temporary, preliminary, or permanent injunctive or other equitable relief concerning intellectual property, unauthorized access, confidentiality, or misuse of the Platform in an appropriate court.
• Limitation on Actions: To the extent permitted by law, any claim arising out of or related to these Terms or the Services must be filed within two (2) years after such claim arose; otherwise, the claim is permanently barred.

4. Texas Governing Law and Exclusive Venue

Except to the extent federal law controls or applicable consumer law requires otherwise, these Terms are governed by, construed, and enforced in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute or controversy not subject to arbitration and that cannot be heard in small claims court will be resolved exclusively in the state or federal courts located in Houston, Harris County, Texas, and both parties waive any objection to venue therein.

5. Changes to These Terms
ESyPet Corporation may update these Terms to reflect changes in our technology, business models, or applicable law. Continued use after legally sufficient notice of modification will confirm your acceptance of the revised Terms.

6. General Corporate Provisions & Nationwide 50-State Compliance
These Terms are engineered to fulfill high-legibility clickwrap standards and accessibility best practices for visually impaired users. If any portion of these Terms is found to be unenforceable or unlawful under any state statute, it will be severed or revised to the minimum extent required to render the remainder valid, preserving the original intent to the fullest extent possible. These Terms constitute the entire agreement between the parties concerning the subject matter and supersede all prior understandings.
